3) Quotes, Orders, and Pricing (overview)

• Quotes are offers to sell valid only for the period stated; availability may change.

• Orders are subject to acceptance by us in writing (email/order acknowledgment).

• Prices exclude taxes, duties, and shipping unless stated otherwise.

• We may supply new, unused, or refurbished items as specified on the quote.

• Title and risk of loss pass per the Incoterms/shipping terms on your order.

4) Shipping, Delivery & Delays

Estimated ship/delivery dates are non-binding. We are not liable for delays outside our reasonable control (e.g., customs, carrier issues, component shortages, force majeure).

5) Returns, RMA & Asset Recovery

Returns require an RMA. Follow packaging/labeling instructions and include serial numbers and fault descriptions. Asset-recovery, decommissioning, and recycling services are provided per separate statements of work.

6) Product Warranty (summary)

Unless your quote states otherwise, hardware carries a 12-month limited warranty covering defects in materials and workmanship under normal use. Exclusions: misuse, physical damage, improper installation, unauthorized modification/repair, environmental damage, and force majeure.
Remedies: repair, replace with equivalent (including refurbished), or refund the purchase price at our option. RMA turnaround targeted within up to 15 days. Advanced Replacement may be available for eligible cases. Full warranty terms are available [link to Warranty & Support].

7) Site Content & IP

The Site and its content are owned by {Company Name} or our licensors and protected by IP laws. You receive a limited, revocable, non-exclusive license to access and use the Site for legitimate business purposes. Don’t remove proprietary notices.

We’re not responsible for third-party websites, products, or services linked from the Site.

10) Compliance

You represent that you (and the end destination) are not subject to sanctions or export restrictions and will comply with applicable export, re-export, and anti-corruption laws.

To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted/ error-free operation. Product warranties are limited to the express warranty above or those in your commercial agreement.

12) Limitation of Liability

To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits/revenue/data. Our total liability for claims arising out of or related to the Site will not exceed the greater of USD $100 or the amount you paid to us for the Service giving rise to the claim in the 12 months preceding the event. For product purchases, the liability cap in your commercial terms applies.

13) Indemnification

You will indemnify and hold {Company Name} harmless from claims arising out of your misuse of the Site, violation of these Terms, or infringement of third-party rights.

14) Suspension & Termination
